Which state should you form your LLC in?
Form your LLC in the state where you do business. The myth that Delaware or Wyoming are always better applies mainly to venture-backed startups (Delaware) or asset protection strategies (Wyoming). For a freelancer or small business owner operating in Texas, form in Texas — you'll pay $300 to file and no annual fee. Forming in Delaware instead means paying both Delaware fees AND a foreign registration fee in your home state, doubling your costs.
What is a registered agent, and do you need one?
Every LLC must have a registered agent — a person or company with a physical address in the state of formation who can receive legal documents. You can be your own registered agent in most states, but it means your home or business address becomes public record. Professional registered agents cost $50–$300/year and keep your address private. Most LLC formation services (ZenBusiness, Northwest) include registered agent service for the first year.
